Terms of Service

These terms govern (a) your use of the Bugwize website and (b) unless superseded by a signed statement of work, the provision of Bugwize quality-assurance and software testing services ("Services"). By using the site or engaging our Services you agree to these terms. If any individually negotiated agreement conflicts with them, the negotiated agreement prevails.

1. Estimates are not offers

Price ranges shown by the calculator, catalogue and packages are indicative, non-binding estimates before applicable taxes. They are a starting point for a conversation, not a quotation or contractual offer. Binding pricing, scope, schedule and terms exist only in a written proposal or statement of work accepted by both parties. Some scopes require manual review before any figure can be confirmed.

2. Engagement and authorization

Submitting a quote request creates no obligation on either side, and we may decline any request at our discretion. Work begins only after written approval of a proposal. You represent and warrant that you own, or are expressly authorized to commission testing of, every system, application, environment and data set in scope. Security, performance and production testing are performed only with your prior written authorization; you are solely responsible for any claim arising from testing systems you were not entitled to authorize.

3. Client responsibilities

Our ability to deliver depends on your cooperation. Unless agreed otherwise, you are responsible for providing, in a timely manner:

  • working access to the systems in scope (URLs, builds, credentials, test accounts, API keys, documentation);
  • a reasonably stable test environment and representative test data;
  • current backups of any data or systems that testing could affect — testing can create, modify or delete data;
  • a responsive point of contact able to answer scope questions and approve decisions;
  • accurate and complete information about the product, its environment and constraints.

If access, environments, information or approvals are missing, late, inaccurate or withdrawn, we may suspend the schedule, invoice for work performed and time reserved, and adjust the quote. Delays or failures caused by your acts or omissions, by third parties you engaged, or by defects in your own systems are not a breach by Bugwize and do not entitle you to a refund.

4. Nature of testing — no guarantee of completeness

Software testing reduces risk; it cannot eliminate it. Testing is performed on a sampled, time-boxed basis against the agreed scope, and no testing process can identify every defect, vulnerability or failure mode. You acknowledge that the absence of reported defects is not a representation that the product is defect-free, secure or fit for release, and that release decisions — including whether to follow our Go / Conditional Go / No-Go recommendation — are made solely by you at your own risk. Bugwize is not liable for losses caused by defects or vulnerabilities not identified during testing, or by issues outside the agreed scope.

5. Recommendations and remediation

Our reports may include recommendations, severity assessments and remediation guidance. Implementing them is your responsibility. Bugwize is not liable for any loss arising from your decision to ignore, delay, partially implement or incorrectly implement a recommendation, from releasing despite a negative recommendation, or from changes made to the product after our testing concluded.

6. Payment

Unless the proposal states otherwise: engagements are payable either in full before delivery of results, or with an advance payment of up to 50% (negotiable) before work starts and the balance upon completion. Final deliverables, including reports and evidence, are released after the final payment is received. Invoices are due within the stated term; we may suspend work and withhold deliverables while amounts are overdue. Quoted amounts exclude applicable taxes.

7. Confidentiality and data

Each party will keep the other's non-public information confidential and use it only for the engagement. We handle personal data as described in the Privacy Notice. You remain the controller of your own systems and data; you must not give us access to data you are not entitled to share.

8. Intellectual property

Upon full payment, deliverables produced specifically for you (reports, test plans, test cases) are yours to use internally. Bugwize retains ownership of its pre-existing materials, methodologies, tools, scripts and know-how, and may reuse generalized, non-confidential knowledge. Website content, service descriptions and design remain our property. Customer names and logos shown on the site belong to their respective owners and indicate past engagement experience of our team; they do not imply endorsement.

9. Warranties disclaimer

The website and all content are provided "as is" and "as available". Except as expressly stated in a signed proposal, Bugwize disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We warrant only that Services will be performed with reasonable skill and care consistent with industry practice; your exclusive remedy for a breach of this warranty is re-performance of the deficient work or, at our option, a refund of the fees paid for that deficient work.

10. Limitation of liability

To the maximum extent permitted by law: (a) Bugwize is not liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, goodwill, business opportunity or data, even if advised of their possibility; and (b) Bugwize's total aggregate liability arising out of or related to an engagement, whether in contract, tort or otherwise, is capped at the fees you actually paid to Bugwize for that engagement in the three months preceding the event giving rise to the claim. For use of the website without a paid engagement, our total liability is capped at USD 100. Nothing in these terms excludes liability that cannot be excluded by law, such as liability for fraud or willful misconduct.

11. Indemnification

You will defend and indemnify Bugwize against third-party claims, damages and reasonable costs arising from: your breach of these terms; testing performed on systems or data you lacked the right to authorize; your product, content or data; or your use of deliverables in violation of law. We will promptly notify you of any such claim and reasonably cooperate at your expense.

12. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control — including outages of third-party platforms or infrastructure, hosting or network failures, acts of government, labor disputes, epidemics, war, terrorism or natural disasters. The affected party will notify the other and resume performance as soon as reasonably possible; obligations to pay for work already performed are not excused.

13. Suspension and termination

Either party may terminate an engagement for the other's material breach that remains uncured 14 days after written notice. Upon termination you pay for all work performed and non-cancellable commitments up to the effective date. Sections 4, 5 and 7–11 survive termination.

14. Acceptable use of the website

You agree not to misuse the site: no unauthorized access attempts, disruption, scraping at abusive volumes, malicious form submissions or spam. Automated spam submissions are filtered and discarded.

15. General

These terms are governed by the laws of Bugwize's jurisdiction of establishment, excluding conflict-of-law rules, and disputes belong to the competent courts of that jurisdiction unless mandatory law provides otherwise. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. We may update these terms; the version published at the moment you use the site or sign a proposal is the one that applies.
